How to set up an umbrella company UK: why you join one rather than form one

Almost nobody searching this wants to incorporate an umbrella company. What they want is to start working through one, and that is not a set-up at all: you JOIN an existing umbrella as an employee, sign a contract of employment with it, and it becomes your employer for every assignment you take through any agency. Forming your own umbrella to employ only yourself would be a personal service company with a different name, and the off-payroll rules would treat it as one. The useful question is what the company does and how to start.

What an umbrella company does

GOV.UK describes it as "a business often used by recruitment agencies to pay temporary workers": it employs you and pays your wages through PAYE, and it does not find you work. The agency finds the work and pays the umbrella an ASSIGNMENT RATE; the umbrella meets the employment costs out of that rate, sets your gross pay, runs PAYE on it and pays you. You get one employer and one continuous employment record across many assignments, which is the practical benefit: continuity of employment, statutory sick and maternity pay, a workplace pension and a single P60 rather than a P45 from every client.

How does an umbrella company work? Joining one, step by step

Your agency will usually give you a list it works with, and since 6 April 2026 that list matters to the agency as well as to you, because PAYE responsibility and joint and several liability now sit with it. Ask for the Key Information Document for each option before you choose: it must state the deductions and their amounts. Then it is a contract of employment, a new-starter checklist or P45, bank details and a right-to-work check. Most umbrellas complete this in a day or two, and the first payment follows your agency's own payment cycle rather than the umbrella's.

What the payslip will look like

Two documents, not one. A RECONCILIATION statement shows the assignment rate and what came out of it before your pay was set: the umbrella's margin, employer National Insurance, the employer pension contribution, holiday pay and the Apprenticeship Levy where it applies. A PAYSLIP shows your gross pay and your own deductions, Income Tax and employee National Insurance, exactly like any employee. On a £300 a day assignment, £1,500 a week, expect about £1,289.52 of gross pay and about £950.95 in your account. If you are shown only one of the two documents, ask for the other: the first is where the money you never see is accounted for.

When an umbrella is the right route, and when it is not

It is the normal route for an inside-IR35 engagement, for short assignments, and for anybody who does not want to run a company. It is usually the wrong route for a settled outside-IR35 contractor on a good rate, where a limited company keeps more, and it is never the right route for somebody being offered take-home percentages in the eighties or nineties, which is the shape of an avoidance scheme rather than a payroll. HMRC's Spotlight 60 exists because that offer is still being made. A compliant umbrella cannot beat PAYE arithmetic, because it IS PAYE arithmetic.

If you really do want to form one

Employing other people through a payroll business is a real trade with real obligations: PAYE registration, employer's liability insurance, the Conduct Regulations where you are also finding work, and from 6 April 2026 a chain in which your agency clients carry joint and several liability for the PAYE you operate, which is why they will audit you. The accreditation schemes, FCSA and Professional Passport, exist to answer that audit, and SafeRec certification goes further by auditing real payslips. None of that is worth doing to employ one person: for that, the company you would form is a personal service company, and the off-payroll rules are the question, not the paperwork.

Questions people ask about how to set up an umbrella company uk

Can I set up my own umbrella company?

You can form a payroll business, but not usefully for yourself alone: a company employing only you is a personal service company, and the off-payroll rules treat it as one. What people normally mean is joining an existing umbrella as an employee.

What does an umbrella company do?

It employs you and pays you through PAYE for assignments your agency finds. It meets the employment costs out of the assignment rate, sets your gross pay and runs the payroll; it does not find you work.

How long does it take to join one?

Usually a day or two: a contract of employment, a P45 or starter checklist, bank details and a right-to-work check. The first payment follows the agency's payment cycle, not the umbrella's.

Do I get holiday pay through an umbrella?

Yes, and it comes out of the assignment rate rather than being added to it. It is either rolled up into each payment or held and paid when you take leave. Held holiday pay that is never claimed is the commonest way money goes missing on an umbrella contract.
