Umbrella company inside IR35: why it is the usual inside route, and what it costs outside

An umbrella company and an IR35 determination are two different things that meet in one place: how you get paid. Inside IR35, an umbrella is the ordinary answer, because the engagement is going to be taxed as employment whatever you do and the umbrella simply makes it an employment. Outside IR35, an umbrella still works and is still lawful, it just costs you the difference between employment taxation and company taxation, which on a £250 a day rate over 220 days is about £3,443.60 a year.

Inside IR35: why the umbrella is the simple route

Inside IR35 the fee-payer, which is normally the agency, must deduct Income Tax and employee National Insurance from the fee before it reaches your company, and account for employer National Insurance on top. Your company then receives money that has already been taxed and has almost nothing left to do except pay it out and file returns. An umbrella removes that layer: you are employed, you are paid through PAYE once, and you get one payslip. The take-home is materially the same, which is the point; what you save is a company's worth of administration.

An umbrella company outside IR35: lawful, and it costs you

Nothing stops an outside-IR35 contractor working through an umbrella, and plenty do: short assignments, a first contract, or an agency that offers no other route. What it costs is the gap between the two taxations. On £250 a day over 220 days, £55,000, the umbrella route nets £37,587.13 after a £1,100 margin, £6,347.40 of employer National Insurance, £236.58 of Apprenticeship Levy and your own PAYE. The limited company route on the same figure nets £41,030.73. The £3,443.60 difference is the price of not running a company, and at that rate it is close enough to an accountant's fee and the administration that the choice is genuinely open.

What an umbrella does not do to your status

It does not make an inside determination go away and it does not make an outside one safer. The status determination is about the engagement: control, substitution, mutuality of obligation, and what actually happens on the job. Being paid through an umbrella is employment by the umbrella, which is a separate employment from the notional one the off-payroll rules ask about. If you are working through an umbrella there is no IR35 question left to answer for that assignment, because the tax the rules exist to secure is already being paid.

The rate you are quoted is not comparable across the two

An outside-IR35 contract quotes a fee to your company. An umbrella assignment quotes a rate that must also cover employer National Insurance, the Apprenticeship Levy, holiday pay and the margin. The same job can be £250 a day to a limited company and £290 a day umbrella and be the same offer. Divide an umbrella rate by about 1.155 before comparing it with a company rate, then take off holiday pay and the margin. An agency quoting the same number for both is quoting the umbrella route lower.

What changed on 6 April 2026

Responsibility for operating PAYE on workers supplied through an umbrella moved to the recruitment agency, or the end client where there is no agency, with joint and several liability for payroll taxes a non-compliant umbrella fails to remit. It does not change your take-home. It changes who is checking: an agency that carries the liability has a direct reason to use umbrellas it has audited, and less appetite for one you bring to it. If you are inside IR35 and being offered a scheme promising eighty or ninety per cent take-home, the arithmetic on this page is the answer: compliant PAYE cannot produce it.

Questions people ask about umbrella company inside ir35

Do I have to use an umbrella inside IR35?

No, but it is usually simpler. Inside IR35 the fee-payer deducts PAYE before paying your company, so a company adds administration without adding take-home. An umbrella makes it one employment and one payslip.

Can I use an outside IR35 umbrella company?

Yes, and it is lawful. It costs the difference between employment and company taxation: about £3,443.60 a year on a £250 a day rate over 220 days, before the cost of running a company.

Does an umbrella protect me from an IR35 challenge?

For the assignments you work through it, there is nothing to challenge: you are employed and PAYE is being operated. It does nothing for earlier engagements taken through your own company.

Why is the umbrella day rate higher than the outside IR35 rate?

Because it has to cover employer National Insurance, the levy, holiday pay and the margin before any wage is set. Divide by about 1.155 before comparing the two numbers.

Is there an inside IR35 umbrella calculator, and does it change the sum?

The umbrella arithmetic does not change with the determination, so the calculator is the same one: assignment rate, then employer National Insurance, the Apprenticeship Levy, holiday pay and the margin, then PAYE on the gross that is left. Inside IR35 that is simply the whole of the answer, because the engagement is taxed as employment either way.
